Week 6 legal structure

Choosing a legal Structure – I have had many businesses in the past and am familiar with the different legal structures. Right off hand I believe an LLC is the way to go on this adventure. There are some pros and cons to this decision. I reviewed and refreshed my knowledge on the different structures available. Since I will be selling my daughters jewelry and possibly be throwing some affiliates on there. I do not seeing us becoming the next Signet aka nationwide jewelry store. I like that with the LLC I do not have to have shareholder meetings and record the minutes. The cons as I mentioned earlier is if this business grows I will be restricted to my options.

I would set this up by first picking a name for this business. Then I would pick a registered agent. Then submit the articles of incorporation LLC-1. Back in the days I would have to locate a courier in Sacramento. Then I would fax the articles to a courier that would then they would go submit them to the court. Luckily, now the courts have gone green and everything can be done on the internet. Once I receive my certificate from a receipt letting me know my LLC now exist? Then creating an operating agreement where I will put down the purpose of my business. Then submit a statement of information with all the contact info of the agent’s name. The get an EIN or more employer’s identification number. Then pay the annual franchise tax and then etc. etc. etc.
